Terms of Service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE USING THE SIGNAL PLATFORM. BY ACCESSING OR USING SIGNAL, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE SIGNAL.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and the operator of SIGNAL ("SIGNAL," "we," or "our") governing your use of the SIGNAL trading platform, including all associated software, services, features, and content (collectively, the "Platform").

1. Eligibility

By using SIGNAL, you represent and warrant that:

  • You are at least 18 years of age;
  • You are a resident of the United States;
  • You have the legal capacity to enter into a binding agreement;
  • You are not prohibited by any applicable law or court order from using the Platform;
  • Any trading account you connect to SIGNAL is held in your name and you are authorized to direct trades on that account.

SIGNAL is intended for use by U.S. residents only. We make no representation that the Platform is appropriate or available in any other jurisdiction.

2. Description of Services

SIGNAL provides a web-based trading platform including:

  • Market data visualization and charting powered by TradingView Lightweight Charts;
  • Trading signals generated by proprietary or third-party algorithms ("Signals");
  • An optional automated trading feature ("AutoTrade") that, when enabled by you, executes trades on your behalf through connected third-party accounts including cryptocurrency exchanges (e.g., Coinbase, Binance) and/or futures trading platforms (e.g., Tradovate).

SIGNAL is a technology platform only. We are not a registered broker-dealer, investment adviser, commodity trading advisor, or financial institution. We do not custody assets, hold funds, or execute trades directly — all execution occurs through your separately maintained third-party accounts.

3. Not Financial or Investment Advice

CRITICAL DISCLAIMER:

  • All content on SIGNAL, including Signals, charts, indicators, and data, is provided for INFORMATIONAL AND EDUCATIONAL PURPOSES ONLY.
  • Nothing on SIGNAL constitutes investment advice, financial advice, trading advice, or any recommendation to buy, sell, or hold any asset or financial instrument.
  • SIGNAL does not assess your individual investment objectives, financial situation, or risk tolerance.
  • Past performance of any Signal or strategy is not indicative of future results. All trading involves significant risk of loss.

You should consult a qualified financial or investment professional before making any trading decisions.

4. Automated Trading — AutoTrade Feature

4.1 User Authorization and Control

The AutoTrade feature is entirely optional and must be explicitly enabled by you. By enabling AutoTrade, you:

  • Authorize SIGNAL to submit trade orders to your connected account on your behalf based on Signals;
  • Acknowledge that you retain full responsibility for all trades executed through AutoTrade;
  • Agree that you can disable AutoTrade at any time and are solely responsible for monitoring it while active.

4.2 Assumption of Risk

BY ENABLING AUTOTRADE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • Automated trading systems can experience technical failures, connectivity issues, latency, or algorithm errors that may result in unintended trades or financial losses;
  • Signals may be inaccurate, delayed, or based on faulty data;
  • You assume ALL risk associated with AutoTrade, including the risk of total loss of capital;
  • SIGNAL is not responsible for any losses, missed profits, taxes, fees, or other financial consequences resulting from AutoTrade.

4.3 Third-Party Brokerages and Exchanges

You acknowledge that:

  • SIGNAL does not control or guarantee the availability or performance of any third-party platform (including Coinbase, Binance, Tradovate, or others);
  • You are solely responsible for complying with the terms, margin requirements, and regulations governing your third-party accounts;
  • SIGNAL is not responsible for outages, API failures, rejected orders, or other issues from third-party platforms;
  • Cryptocurrency and futures trading carry substantial risk and may not be suitable for all investors.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • SIGNAL AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING TRADING LOSSES, LOSS OF PROFITS, OR LOSS OF DATA;
  • SIGNAL'S TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) TOTAL FEES PAID BY YOU TO SIGNAL IN THE THREE (3) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00);
  • SIGNAL MAKES NO WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

6. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. SIGNAL DOES NOT WARRANT THAT ANY SIGNAL, DATA, OR INFORMATION IS ACCURATE, COMPLETE, TIMELY, OR SUITABLE FOR TRADING PURPOSES.

7. User Responsibilities

You are solely responsible for:

  • All trading decisions made using or influenced by SIGNAL;
  • Ensuring sufficient funds and authorization in your connected accounts;
  • Complying with all applicable laws, including tax obligations from trading activity;
  • Maintaining the security of your SIGNAL account credentials and API keys;
  • Promptly disabling AutoTrade if you wish to cease automated trading;
  • Understanding the risks of trading cryptocurrencies, futures, and other instruments before use.

8. Prohibited Uses

You agree not to use SIGNAL to:

  • Violate any applicable law, regulation, or third-party rights;
  • Engage in market manipulation, wash trading, spoofing, or fraudulent trading practices;
  • Reverse engineer, decompile, or extract proprietary algorithms or source code;
  • Interfere with or disrupt the Platform's infrastructure or security;
  • Share your account credentials with any third party.

9. Account Termination and Suspension

SIGNAL reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms or suspected fraudulent activity. Upon termination, you remain responsible for any obligations incurred prior to termination, including any open positions initiated through AutoTrade.

10. Intellectual Property

All content, software, algorithms, designs, and trademarks on the Platform are the exclusive property of SIGNAL or its licensors. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for your personal, non-commercial trading purposes only. SIGNAL utilizes TradingView Lightweight Charts, subject to TradingView's own licensing terms.

11. Privacy

Your use of SIGNAL is governed by our Privacy Policy, incorporated herein by reference. By using the Platform, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.

12. Indemnification

You agree to indemnify, defend, and hold harmless SIGNAL and its operators, affiliates, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) any trading activity in your account; (d) your violation of any law or third-party rights; or (e) any AutoTrade transactions executed on your behalf.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by the laws of the United States and the state in which SIGNAL operates, without regard to conflict of law principles.

13.2 Arbitration Agreement

ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL BE RESOLVED BY BINDING ARBITRATION, except for claims eligible for small claims court. Arbitration shall be conducted under AAA or JAMS rules. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS ACTION.

13.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE SHALL BE RESOLVED INDIVIDUALLY. NO ARBITRATION SHALL BE JOINED WITH ANOTHER OR PROCEED ON A CLASS-ACTION BASIS.

14. Regulatory Disclosure

SIGNAL is a technology platform and does not hold any broker-dealer, investment adviser, commodity trading advisor, money transmitter, or other financial services license. You are solely responsible for determining whether your use of SIGNAL complies with applicable securities, commodities, and financial regulations, including rules administered by the SEC, FINRA, CFTC, and relevant state regulators.

15. Modifications to These Terms

SIGNAL reserves the right to modify these Terms at any time. We will provide notice of material changes by updating the Effective Date and, where practicable, notifying you via email or in-app notification. Continued use of the Platform after any modification constitutes your acceptance of the updated Terms.

16. Severability and Entire Agreement

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall remain in full effect. These Terms, together with the Privacy Policy, constitute the entire agreement between you and SIGNAL regarding the Platform.
